Acted on behalf of the shareholders in connection with the sale of a printing business to a competitor. Involved various tax issues and structures as well as complex earn out provisions. Other issues included advising on an on-going operations agreement with the purchaser and negotiating agency and distribution contracts.

Advised the majority shareholders of a successful telecommunications business specialising in communications solutions integration with the sale of the group to an AIM listed company, in a complex share, cash and earn-out deal.

Acted on behalf of a BVI company in connection with the sale of a UK company specialising in bank security services to a US purchaser. Advised on all commercial issues and relevant tax and other considerations on earn out.

Acted as the UK adviser to the UK shareholder syndicate and an Isle of Man Trust in the sale of an oil and gas consultancy business to a Norwegian company backed by venture capitalists based in the Far East.
