Advised on the corporate structure and commercial terms of an investment trust set up with a non UK third party including investment trusts, limited liability partnerships, limited companies and corporate trustees and liaised on the tax provisions and regulatory considerations.

Advised the designated members in a limited liability partnership on possible alternate corporate structures and, in tandem with tax advisors, restructuring the venture in a limited company group structure

Advising on corporate structure and complex provisions of the limited liability partnership including goodwill calculations, exit and income and capital considerations.

Advising a US business on setting up in the UK, including corporate structure, commercial contracts and liaising with regard to employment, property and tax considerations.

Advised on the corporate set up and joint venture in connection with internet sports media services with certain high profile sportsmen to include advising on group structures, share options, intellectual property, advertising and licensing.

Suzanne Eva and Charlotte Baker acted for an AIM Listed company in respect of a further placing of shares on AIM.  This included preparing the verification notes relating to the marketing presentation and advising the Company on thereon together with the Placing Agreement, Placing letter, Warrant Agreement and preparing the various ancillary documentation.
