Advised the board on the options, process and ramifications of an engineered shareholder exit and thereafter produced the necessary documentation and advised on the negotiations resulting in an agreed shareholder exit strategy.

Advised the board on possible share option schemes for key employees including include the structure of the scheme, liaison with the tax advisors and producing the appropriate documentation for the set up.

Advised the board on a claim against a minority shareholder for breach of the shareholders agreement, including advising on directors’ duties, exploring minority shareholders’ rights, bad leaver clauses and complex share transfer provisions.
